Terms of Service

Welcome to Kombo. These terms and conditions (the "Terms") govern the use of our platform (the "Platform") and the ordering of products and/or services (the "Products") of our associated Providers listed on it. Please read these Terms carefully before using the Platform or ordering any product and/or service.

By accessing the Platform and placing an order, you accept these Terms. If you have any questions about them, please contact us at [email protected] before placing your order. If you do not accept these Terms in full, please refrain from using our Service.

1. About us

Kombo is a platform operated by Retail For Tomorrow S.L. ("we" or "Kombo"), with registered office at C/ Pallars 85, 2-4, 08018 Barcelona, Spain, and tax ID (CIF) B10646040. Kombo offers products and/or services of independent providers (our "associated Providers") to individual users and businesses through a web Platform.

2. Purpose

The purpose of our Service is to provide Platform users with a simple and convenient way to order products and/or services from our associated Providers, and to facilitate and/or manage, in whole or in part, the delivery of those products to users.

3. Registration and contract formation

The contract between Kombo and the Platform user is formed when the user, having placed an order, receives an order confirmation at the email address provided during registration.

To place orders and become a Customer of the Platform, the following requirements must be met:

  • Being 18 years of age or older.
  • Truthfully completing the mandatory fields of the registration form, which requests personal data such as username, email address, phone number and bank card number.
  • Accepting these Terms, which include acceptance of the Privacy and Data Protection Policy.

The user warrants that all identity and legitimacy data provided to Kombo in the Platform's registration forms are truthful, accurate and complete, and undertakes to keep them up to date. If the user provides any false, inaccurate or incomplete data, or if Kombo has reasonable grounds to doubt their truthfulness, accuracy or completeness, Kombo may deny the user present or future access to and use of the Platform or any of its contents and/or services.

The user signs up and accesses the Platform with their email address or phone number, logging in with a verification code sent to the respective sign-up method. The user undertakes not to disclose their account details or make them accessible to third parties. The user is solely responsible for any use of those details by third parties, including statements made on the Platform or any other action carried out through their user account.

The user may complete their registration on the Platform by adding data such as first and last name, email address and phone number, and by registering a payment method. The user may not place any order on the Platform without first registering a credit card or, alternatively, having previously contacted [email protected] to set up payment by bank transfer or SEPA direct debit.

Once registration is complete, the user may access their profile on the Platform and complete and/or edit it. The user may unsubscribe from the Platform by sending an email to [email protected].

4. Use of the Service

You agree to use our Service only for lawful purposes. In particular, you may not use the Service to:

  • Violate any applicable laws or regulations.
  • Infringe the rights of others.
  • Interfere with or disrupt the Service or servers.
  • Upload or transmit harmful or malicious code.
  • Collect personal data of others without their consent.

5. Products and/or services offered. Orders. Modifications. Delivery

When you place an order on the Platform, we will send you a "Confirmation Email" confirming its receipt and whether it has been accepted by our associated Provider. The contract for the supply of any product and/or service ordered through Kombo is established between you and the associated Provider, and is formalized only once we have sent you the Confirmation Email.

After signing up on the Platform, the user may place orders with Kombo's associated Providers. All products and/or services shown on the Platform are subject to availability. When the user places an order, the Platform itself automatically informs them of its availability at the time of ordering. If there is any problem fulfilling the order, the user will be informed immediately by email.

In the prepared-food section, the Provider reserves the right to substitute some products in the order with similar ones of equal or greater value in the event of internal problems that prevent serving the products ordered by the user. Where possible, the user will be notified of such changes and/or substitutions.

For food products and/or services, our associated Providers may use nuts or other allergens in the preparation of certain products. Ingredient and allergen information for these products is available on the Platform, and the associated Provider offering those products and/or services is solely responsible for the information provided. If the user has any food allergy or intolerance, they may notify [email protected] before placing the order so Kombo can verify the product information with the associated Provider. Kombo does not guarantee that the food products offered on the Platform are allergen-free.

For orders requiring the delivery of products or the performance of a service at a physical location, the user must provide the full address and access instructions, if necessary, to allow access by the staff responsible for delivering the products or performing the service. Such staff may be employed by Kombo, by the associated Provider or by an external company.

When placing the order, the user must indicate the date and time (time window) at which they wish to receive the contracted product and/or service. The user undertakes to take the necessary steps so that the staff delivering the product or performing the contracted service can access the agreed location quickly and conveniently at the time agreed when placing the order.

Kombo is not responsible for any delay or incident in the delivery or service process. Should any incident arise, Kombo will act as intermediary to find a solution that benefits the user.

6. Sale of alcohol

Persons placing an order on the Platform containing alcoholic products must be 18 years of age or older. Alcoholic beverages may only be sold to persons over 18. By placing an order that includes alcohol, the user confirms that they are at least 18 years old. Kombo reserves the right to refuse to deliver alcoholic products to anyone who cannot prove they are at least 18 years of age.

7. Prices

The prices of the products and/or services offered are shown on the Platform. Prices include VAT. Prices are subject to change at any time, but changes will not affect orders already placed by the user and confirmed by Kombo or by the associated Provider.

8. Payment and billing

Payment for the products and/or services contracted on the Platform is made directly to Kombo. Kombo is the entity that invoices the user for the products and/or services contracted on the Platform. Payment is made once the order has been confirmed and the associated Provider has started preparing it.

The user may add the following payment methods through the Platform's payment gateway:

  • Credit or debit card
  • SEPA direct debit / bank transfer

The user may download the invoices associated with their orders from their user area on the Platform. Additionally, the user may receive invoices at the email address provided on the Platform. The user must provide additional tax information on the Platform in order to obtain an invoice.

8.1. Non-payment

In the case of overdue invoices payable by bank transfer, the Customer explicitly authorizes Kombo to charge any other payment method registered on the Platform, including, in the case of legal entities, any card or SEPA B2B direct-debit mandate of any employee of the company, its affiliates and/or parent companies. In such a case the Customer agrees to reconcile and adjust their accounts internally. Kombo reserves the right, without prejudice to the outstanding debt, to disable payment by bank transfer once it becomes aware of an overdue invoice, regardless of its amount. Kombo will notify the Customer 7 days in advance before carrying out the automatic fund-recovery procedure, so that the Customer may regularize their payment situation.

9. Cancellations, returns and refunds

Any request to modify and/or cancel catering/event orders is subject to the Provider's express approval. If such approval is not obtained, the user undertakes to pay 100% of the amount of the order initially confirmed on the Platform.

If the associated Provider cannot complete an order placed by a user, Kombo will offer a similar alternative of the same or higher price and characteristics, from the same associated Provider or from another associated Provider.

Returns of food products are not accepted. In case of disagreement with the product received, Kombo will act as the sole valid intermediary in resolving the dispute with the user and will offer appropriate compensation once the case has been reviewed.

If, for any reason, there is an error in the charging of an invoice, the user must notify Kombo within 2 days of its issue and payment. Once the claim is accepted, after the appropriate checks, Kombo will refund the wrongly made payments within the following 3 days.

Before initiating a chargeback or dispute with your bank or card issuer for any order, you must first contact [email protected] to attempt resolution. Failure to do so may result in any payment network fees and a Kombo handling fee being charged to your account.

10. User Content

You may submit reviews, ratings and other content ("User Content") on our Platform. By submitting User Content, you grant Kombo a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify and display your User Content. You are responsible for ensuring that your User Content does not violate any laws or infringe on the rights of others.

11. Liability

To the extent permitted by law, Kombo provides our Service and content "as is" and on an "as available" basis, and we make no representations or warranties of any kind, express or implied, regarding the content or availability of our Service, nor can we guarantee that it is error-free or that any defect will be corrected in a timely manner.

Without prejudice to the following, neither Kombo nor any associated Provider shall have any liability to the user for any loss or damage, direct, indirect, special or consequential, arising from the contract, from civil liability (including negligence) or otherwise arising from the use of, or inability to use, our Service.

In the event that Kombo or the associated Provider is found liable to the user, the total of our obligations shall be limited to the purchase price of the products and/or services contracted by the user on the Platform. This does not exclude or limit in any way the liability of Kombo or of any associated Provider for anything whose exclusion on our part would be unlawful, nor does it attempt to exclude our liability or that of the associated Providers, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Kombo is not responsible for possible failures or delays of the associated Provider or of the courier company in the provision of the service, being responsible only for the proper functioning of the Platform throughout the provision process.

12. Indemnification

You agree to indemnify and hold harmless Kombo, its affiliates, and their respective officers, directors, employees and agents from any claims, liabilities, damages and expenses arising from your use of the Service or your violation of these Terms.

13. Intellectual property rights

All intellectual property rights comprised in the Platform are the property of Retail For Tomorrow S.L., and nothing in these Terms constitutes an assignment thereof. Intellectual Property rights include patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill, unfair competition rights, design rights, software rights, database rights, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, whether registered or not, including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

14. Communications

By using our website and Platform, the user accepts that communications with Kombo take place by email, through the Platform and by phone call. The user accepts these means of communication and acknowledges the validity of contracts, notices, information and other communications provided through them.

Any communication with Kombo must be made by email to the following address: [email protected]. The user will be notified via the email address provided when signing up on the Platform.

15. Severability

If any provision, or part thereof, of these Terms is declared illegal, void or otherwise unenforceable by any competent court or authority, that provision or part thereof shall be removed from the Terms, and the remaining Terms shall continue to apply as if the illegal, void or unenforceable provision, or part thereof, had never been agreed.

16. Right to modify the Terms

Kombo reserves the right to review and modify these Terms periodically. The user is subject to the policies and terms and conditions in force at the time they place an order.

17. Governing law and jurisdiction

These Terms are governed by and construed in accordance with Spanish law. Kombo and the user, expressly waiving any other forum or applicable legislation that might correspond to them, submit to Spanish common law and to the jurisdiction of the Courts and Tribunals of the city of Barcelona (Spain).

This page is available in several languages as a courtesy; in case of any discrepancy, the Spanish version prevails.
